Terms and Conditions

1/ General conditions

The seller and buyer agree that their mutual business relationships will be directed according to these conditions unless there is another written agreement.
All conditions which are not a part of these Terms and Conditions will be implemented in compliance with the Commercial Code.

2/ Goods/merchandise

The basic assortment of offered goods is listed in the seller’s price list. It is possible to make an individual agreement regarding goods delivery (format, grammage, ...), which is not listed in the seller’s price list. All supplied paper and board may be supplied within the tolerance range of the relevant technical standard in terms of basis weight. (tolerance ranges are listed in the Complaints Procedure, available on the company’s web site: www.scppapier.com).

3/ Delivery

Delivery is understood as the delivery of goods to the buyer by the seller based on the buyer’s order, to an agreed location and within an agreed time period. Unless agreed otherwise the delivery location is understood to be the seller’s storage facility. A delivery is considered on time when it is delivered within the agreed time period. In case the delivery is not delivered within the agreed time period, the buyer will provide the seller with a grace period of 14 days, and if the seller delivers goods during this period, the delivery will be understood as a delivery on time. The seller has the right to specify a minimum order amount depending on the type of goods. In case the delivery location is the buyer’s storage, the buyer is required to ensure optimal conditions for the quick unloading of the delivered goods. In case, the buyer causes a delay in the unloading of goods, the seller reserves the right to charge incurred costs.

4/ Price

Unless agreed otherwise, the invoice is prepared according to existing prices listed in the price list, which is valid on the day of delivery. The determining factor for setting the price according to the price list is the amount of goods of one sort and format, and basis weight in one order.

5/ Payment conditions

The payment of the purchase price is carried out according to payment conditions stated on the seller’s invoice. The payment of the purchase price is understood as the transfer of the invoice price to the seller’s account or the acceptance of cash. If the buyer’s payment for delivered goods is partly or completely delayed the seller has the right to stop further deliveries. In case the delay is more than 14 days the seller has the right to back out of the contract due to a serious breach of contract. In case, the purchase price is not fully paid on time, the seller may charge additional interest according to § 369 of the Commercial Code unless agreed otherwise. The goods remain the seller’s property until full payment is recieved.

6/ Claims

The buyer is obliged to receive goods at the delivery location, to examine its condition and amount and to acknowledge this with a signature on the seller’s delivery note. Evident goods defects should be claimed in writing as soon as possible, but no later than 7 days after the goods delivery and always before use. Hidden goods defects should be claimed immediately following detection, but no later than 60 days after the goods delivery and in writing. The buyer is obliged in both cases to attach to the written claim all the necessary documents and follow the rules that are stated in the  SCP PAPIER, Inc. Complaints Procedure (available on www.scppapier.com). If the claim is not completed in time, or the buyer uses claimed goods without written acknowledgement, or sells the goods, all buyer’s rights will be forfeited. Following agreement between the buyer and the seller, accepted claims will be compensated with an appropriate discount or exchange of goods.

7/ Logistics surcharge

The seller charges extra costs for all deliveries from SCP PAPIER, Inc. storage to the amount of 4 €/t  due to higher expenses related to obtaining and distributing goods, resulting from legislative changes in the Slovak Republic related to new road and motorway charges, in place since 1st January 2010.
